By accessing or using the Lumen Supply Chain Operating System ("Service") provided by Lumen Global Sourcing ("Company," "we," "us," or "our"), located at 1614 Laurel Lane, Argyle, Texas, USA, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Service.
Lumen provides a cloud-based supply chain management platform ("SaaS Platform") that includes shipment tracking, purchase order management, warehouse operations, fulfillment management, automated billing, and notification services. The Service is provided on a subscription basis subject to the plan selected by the customer.
The Service is intended for use by businesses and their authorized representatives. By using the Service, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of the organization you represent. The Service is not intended for individual consumer use.
To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
We may offer a free trial period for the Starter plan. The free trial lasts for seven (7) days from the date of account creation. During the trial, you will have access to the features included in the Starter plan. At the end of the trial period, your account will be converted to a paid subscription unless you cancel before the trial ends. Payment information is required to start a free trial.
The Service is offered under various subscription plans (Starter, Growth, Operations, Enterprise). Pricing, features, and limits are described on our Pricing page. All fees are stated in U.S. Dollars (USD) and are non-refundable except as required by applicable law.
Subscriptions automatically renew at the end of each billing period (monthly or annually) unless cancelled prior to the renewal date. You authorize us to charge your payment method on file for recurring subscription fees.
Payment is processed through Stripe, a third-party payment processor. By providing payment information, you agree to Stripe's terms of service. We do not store your full credit card details on our servers. All payments are due at the start of each billing cycle. Late payments may result in suspension or termination of your account.
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused time within a billing period. Enterprise plan customers should refer to their individual agreement for cancellation terms.
All content, features, and functionality of the Service, including but not limited to software, text, graphics, logos, and trademarks, are owned by Lumen Global Sourcing and are protected by United States and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the term of your subscription.
You retain all rights to data you upload or input into the Service ("User Data"). You grant us a limited license to process, store, and display your User Data solely for the purpose of providing the Service. We will not sell, share, or use your User Data for purposes unrelated to delivering the Service, except as required by law.
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to the Service or its related systems; (c) interfere with or disrupt the integrity or performance of the Service; (d) upload malicious code, viruses, or harmful data; (e) reverse engineer, decompile, or disassemble any part of the Service; (f) resell, sublicense, or redistribute access to the Service without our written consent.
We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. Scheduled maintenance will be communicated in advance when possible.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUMEN GLOBAL SOURCING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless Lumen Global Sourcing, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service or your breach of these Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in Denton County, Texas, in accordance with the rules of the American Arbitration Association (AAA). Each party shall bear its own costs of arbitration.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the revised Terms.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
These Terms, together with our Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and Lumen Global Sourcing with respect to the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written.
